So recently I got a notice of request for past due corporation tax return for the year 2021. The thjng is during covid I wasn’t able to work due to the nature of my job as a construction/self-employed. At the time that I got help to register my business, I got help from a person that did my personal taxes. But I made no income in 2021 and no tax return was made for my business. However after like 2022 I stopped doing my taxes with this person since my daughter said to use tax software since it’s cheaper. I have been reporting as a sole proprietor in my joint taxes and reporting all the stuff about the business. I knew my business was some kind of inc but I never truly knew what it meant. I haven’t paid the business tax (form 100) since I registered my business. I have been doing business in California too. I was wondering if I should dissolve my corporation in the SOS and make jt into a sole proprietor instead… or just do the tax returns that I haven’t done and submit it to get it over with. Also I have some accounts under the business name. I don’t know what to do… I have the taxes to complete and just seems like a lot.

    If it’s confusing, I am sorry I have been very much everywhere since the notice. I will do my best to clarify

      An incorporated entity doesn’t dissolve itself if you forget about it. It need to be wind down. 

      Talk to a cpa to go over your situation, there’s a lot to clear up that is hard to go over on reddit comment.

      Its extremely unlikely that you should be a C corporation in California
