Hello,

    In 2024, I received an EIN for a partnership, and the IRS letter stated that I need to file Form 1065 by 03/15/2025. However, I was under the impression that if there is no activity, I am not required to file anything.

    I also did not file for 2025 for the same reason, and my business activity only started in April 2026.

    Should I file Form 1065 for 2024 and 2025, or should I wait for the IRS to send a notice and then explain the situation?

    1. Wrong. The moment you created an EIN, the IRS is expecting a tax return. You should’ve filed a 1065 with $0.

      You will be assessed a penalty, by month based on numbers of partners.

    2. Rev proc 84-35 covers you presumedly but you should just file instead of gambling IRS notices.

      Yes, there is an exception for if there was no revenue and no deductible expenses then you don’t have to file.

      That being said, because of the stiff penalties, it’s better not to risk it and just to file a zero return every year and be done with it.
